Pilot Program Agreement

This agreement applies if you are admitted to the OptimaFlo Pilot Program. It supplements the Terms of Service, and the Master Services Agreement if you sign an Order Form, both of which apply in full. You accept it through your Pilot Order: the email or order confirmation that names your plan and start date.
ABOUT THE PILOT
In Short: The Pilot Program gives you a discount and direct access to our team for 3 months, in exchange for feedback. Your subscription is otherwise a normal OptimaFlo subscription.
This agreement is for customers we admit to the Pilot Program described on our pilot program page. It is accepted by your Pilot Order. The following documents also apply and are incorporated by reference: the Terms of Service, the Data Processing Agreement, the Acceptable Use Policy, the Privacy Policy, and the Refund and Cancellation Policy. If you sign an Order Form, the Master Services Agreement governs instead of the Terms of Service, and this agreement supplements it.
Where this agreement and those documents conflict on a pilot-specific point, this agreement controls. On everything else, they control.
PILOT TERM
Your Pilot Term is 3 months, starting on the date in your Pilot Order. You get one Pilot Term per customer unless we agree to another in writing.
WHAT YOU GET
- The plan named in your Pilot Order, with the limits and features described on our pricing page.
- A weekly 30-minute call with our team. We schedule these by mutual agreement and give reasonable efforts to hold them; a missed or rescheduled call is not a breach of this agreement.
- Early access to new and beta features as we release them.
- A say in what we build next. We take your input seriously, but we do not commit to building any specific feature or to any timeline.
FEES AND DISCOUNT
You get 30% off the list price of your chosen plan for the Pilot Term. If you sign a Case Study Consent, the discount increases to 40%, effective from your next billing cycle after we receive it.
We bill you monthly by card, or as your Pilot Order states. Your invoice shows the discount applied. If you start through self-serve checkout, the standard 7-day free trial applies first; the pilot discount applies once paid billing starts. Cloud infrastructure costs charged by your cloud provider in a BYOC deployment are yours, as described in the Terms of Service.
EARLY ACCESS AND BETA FEATURES
Early-access and beta features are provided as-is. We may change, limit, or withdraw them at any time. They are not covered by the Service Level Agreement, and support response targets do not apply to them. They may contain bugs. Do not rely on them for production-critical work without your own testing and review.
FEEDBACK
You will give us feedback on the Services as part of the pilot. We may use that feedback freely, on the same terms as the "Submissions" section of the Terms of Service. We are not obligated to act on any feedback you give us.
SUPPORT AND SLA
You get the support level of your chosen plan, as described on our pricing page. The Service Level Agreement applies to you only if your chosen plan is Scale or Enterprise, and never to early-access or beta features.
YOUR DATA
The pilot does not change how we handle your data. The Terms of Service and the Data Processing Agreement apply to Customer Data in the pilot exactly as they do to any other subscription, including export and deletion.
CONFIDENTIALITY
Each of us will keep the other's Confidential Information confidential and use it only for the pilot. Confidential Information includes our roadmap and unreleased features, and your non-public business information, but not information that is public, already known to the receiving party, independently developed, or received from a third party without restriction. This obligation lasts 3 years after the Pilot Term ends.
PUBLICITY AND CASE STUDIES
The "Customer Reference" section of the Terms of Service applies: we may use your company name and logo unless you opt out by email. We will only publish a case study about you under a separate, signed Case Study Consent.
The 40% discount is tied to that consent. If you revoke your Case Study Consent before the Pilot Term ends, your discount returns to 30% starting from your next billing cycle.
ENDING THE PILOT
Either of us may end the pilot on 14 days' written notice. Fees already billed are not refunded, and you do not owe fees for months after the pilot ends. We may also end the pilot for a breach of the Acceptable Use Policy or for non-payment, as described in the Terms of Service.
When your Pilot Term ends, your subscription continues on your chosen plan at standard list rates, unless an Order Form or a written extension says otherwise. You can cancel at any time under our Refund and Cancellation Policy.
WARRANTIES AND LIABILITY
The warranty disclaimers and limitation of liability in the Terms of Service apply to the pilot. Early-access and beta features are provided as-is and are not covered by any warranty.
CHANGES AND CONTACT
We may update these terms for future pilots. Changes will not apply to a Pilot Term already underway unless you agree to them.
